Terms

Terms of service

These terms are an agreement between you and Prizmstack LLC, which makes Tengu OS. You accept them when you create an account, start or join a workspace (as a teammate or a client), or pay: each of those buttons says so right beside it and links here.

Last updated October 21, 2026

Who you contract with

Tengu OS is run by Prizmstack LLC. “We”, “us” and “Prizmstack” in these terms mean Prizmstack LLC.

Postal address: 30 North Gould St, Ste R, Sheridan, WY 82801, USA. Email: hello@tengu.work. Payments go to Prizmstack LLC, in US dollars, and card statements show TENGU.WORK.

How you agree

  • Right under each button that makes an account, an organization or a membership, a line names the button and says that selecting it agrees to these terms: sign-up’s Email me a code and Create my account, Create organization, Accept and join, Sign in and join, and a client’s Open your tickets. Create organization agrees for your company, and confirms you can act for it.
  • Paying in Admin › Billing (subscribing, turning a plan back on, or a design partner saving a card) asks you to tick a box agreeing to these terms and to the plan renewing automatically each month or year until it’s canceled. Pay works only once it is ticked.
  • A client guest agrees when they open their tickets.
  • We keep a record of each agreement: which version of these terms, when, and for which account and company. The date at the top of this page is the version in force.

Who can use Tengu

  • Tengu is a tool for work. You must be 18 or older and use Tengu for a business, not as a consumer.
  • If you create or pay for an organization, you confirm you can act for the company it belongs to and agree to these terms for it. “You” then means that company too.
  • Invite only people who are 18 or older, as teammates or as client guests.

Your workspace and account

A workspace belongs to the company that created it, and its owner decides who joins and what they can do. Keep your sign-in to yourself, and the authenticator app if you turn on two-factor sign-in in Settings, and tell us at hello@tengu.work if you think someone else has used it. Tengu emails members the news in their inbox they haven’t seen yet; each chooses which in Settings, or stops them with the Stop these emails link in any of them.

Client guests

On a paid plan, a team can invite its clients as guests. Guests are free and never take a seat. A guest sees only what the team shares with them, and agrees to these terms when they open their tickets. The team decides what to share and is responsible for having the right to share it. What a guest posts in a workspace is part of that workspace’s content. A guest can stop update emails with the Stop these emails link in any of them, and can delete their own account like anyone else.

Your content

What you put into Tengu, and what your connected tools send it, stays yours. You give us a licence to store, copy, process, send and display it only to run Tengu for you, as these terms and the privacy page describe. What Tengu’s AI writes for you from it (recaps, tickets, answers and release notes) is yours too, as between you and us. You are responsible for your content and for having the right to put it in Tengu. We don’t sell it.

What is ours

Tengu, its code, its design, its art and its characters belong to Prizmstack LLC. While your workspace is in good standing, your team may use Tengu for its own work under these terms. Don’t copy, resell or rent it, take its code apart, or use it to build a rival product. Scripts and agents use Tengu through the Agent API or its MCP server, with your organization’s API keys. The fonts and open-source code Tengu uses come under their own licences, listed in the credits.

Ideas you send

If you send us ideas, roadmap requests or feedback, we may use them freely, without owing you anything. Your workspace’s content stays yours.

Acceptable use

  • Don’t use Tengu to break the law, or to store or share content you have no right to.
  • Don’t try to reach other workspaces’ data, or probe or overload the service. Report security issues to us instead.
  • If you send Tengu Bot to a call, tell everyone on it that it records and transcribes (on Zoom, Google Meet and Teams it says so in the call’s chat; on Webex it can’t say so itself). Where the law asks for consent, get it first.
  • Share client reports and shared lists only with people allowed to see them.
  • Use the tools you connect (ClickUp, Linear, Jira, GitHub, Slack, Intercom, Google Drive, your own Supabase project and Claude) only as your agreements with them allow. Messages you send through one, such as replies to your Intercom contacts, are yours: get the consent they need and honor opt-outs.
  • Pick for Tengu Bot’s docs only Google Drive files the team it answers may read: whoever a shelf answers gets answers from its files, and whoever can edit a file changes those answers.
  • Tengu Bot’s AI features come with a fair-use allowance per seat on each paid plan.

Plans and billing

  • Paid plans renew automatically at the end of each month or year, charged to the card on file, until the owner cancels. The owner cancels in Admin › Billing at any time: the plan runs to the end of the period you paid for; it doesn’t renew, though seats added and top-ups bought (by hand or with auto top-up) before then are still charged.
  • A design partner who saves a card is subscribed: the plan they picked starts, and is charged, when their days end, unless the owner cancels in Billing before then. Canceling before then charges nothing. We email the owner when the card is saved and again 14, 7 and 1 days before the first charge.
  • We may change prices. A new price applies only from a renewal at least 30 days after we tell the owner by email.
  • Paid plans are billed per seat, upfront, for a month or a year. A seat is everyone who can sign in and work, plus every invite not yet accepted; client guests are free. There is no minimum. Admins and Operations can invite people too. When no seat is open, their invite charges the card (someone in Operations adds at most 3 paid seats a day), and the owner and admins get an email with the amount.
  • Adding a seat the plan doesn’t have charges for the time left until the renewal at once; amounts under $0.50 are added to the next charge. Removing someone gives no refund or credit: their seat stays open until the renewal. Invites nobody accepts are canceled 14 days after their link expires.
  • Each renewal is charged for the seats the team has then. Upgrades take effect at once; downgrades and switches between monthly and annual take effect at the renewal, and a switch that isn’t paid leaves the plan on its old interval. On a downgrade, features the new plan doesn’t include are hidden until you upgrade again.
  • If a renewal payment fails, you have 3 business days to fix it. Then a team of 5 or fewer moves to Free and a bigger team is paused. Paused periods are not billed. Coming back within 60 days of an unpaid stop pays for the grace days used. A lost payment dispute pauses the workspace until the disputed amount is paid. Then the plan carries on if its current period began before the pause; if it renewed during the pause, or there is no plan, the plan ends as an unpaid stop: a team of 5 or fewer moves to Free and a bigger team stays paused until a plan is paid for again in Billing.
  • Paid plans include $2 of AI per seat each month for Tengu Bot, and on a paid Studio plan for NPCs too, in one pool. Top-ups the owner adds, by hand or with auto top-up, are charged when bought, aren’t refundable and expire one month after purchase, not counting time the plan wasn’t paid. NPCs aren’t part of a trial or a plan we give you free.
  • Prices are in US dollars. Tengu doesn’t collect sales tax or VAT; if tax is due where you are, you are responsible for it.
  • A discount we give your plan lasts as long as we said, on that plan. It ends when the plan ends, and a plan you start later is at the full price.

Refunds and canceling

Annual plans: a pro-rata refund of the unused time if you ask within 14 days of paying for the year (the first payment, a renewal or a switch to annual) or for added seats. Write to hello@tengu.work. Refunding the year ends the plan, and with it any discount, and refunds any seats or upgrade paid since. Added seats are refunded once they’re open: remove the people first. Monthly plans and top-ups aren’t refunded.

The owner can cancel at any time in Billing; the plan runs to the end of the period paid for and doesn’t renew. Then a team of 5 or fewer moves to Free and a bigger team is paused. Your data is kept. After 30 days paused, Tengu removes its keys to the tools you connected (ClickUp sign-ins, the Claude routine, Supabase, Intercom, PostHog and Google Drive) and stops imports still running; after 30 days on Free, it removes those Free doesn't include (Supabase, Intercom, PostHog and Google Drive). With Google Drive goes the text Tengu copied from your docs; the docs stay on their shelves and answer again on Studio once whoever picked them connects Google Drive again. The owner and admins hear 7 days before, and you reconnect them when you come back. A design partner’s plan canceled before it starts charges nothing.

Tools you connect

ClickUp, Linear, Jira, GitHub, Slack, Intercom, Google Drive, Supabase and Claude are run by other companies under your own agreements with them. Your Claude account, its routines and its usage limits are between you and Anthropic; when someone runs a ticket in Claude Code or QA with Claude, Tengu sends the ticket (its description, subtasks and latest comments) to your routine. If one of those services changes or stops what it offers, parts of Tengu that depend on it may change too.

NPCs are different: they run on Anthropic’s Managed Agents on Tengu’s own account, so what they do follows Anthropic’s usage policy as well as these terms. We may turn NPCs off for a workspace whose NPCs are used against either, and tell its owner.

Agent work is a draft

Pull requests, QA findings, release notes and other output from agents or AI features can be wrong. Review them before you merge, ship or rely on them. You decide what goes live.

Availability and changes to Tengu

We work to keep Tengu running and your data safe, but we can’t promise it will never be interrupted. We may improve or change features; when a change takes away something you pay for, we will tell workspace owners first.

Suspension and ending

  • The owner can cancel at any time in Billing; the plan runs to the end of the period paid for and doesn’t renew.
  • The owner can delete the workspace in Admin › Settings, with a fresh sign-in. The team and its clients lose access at once, and everything in it is deleted for good 30 days later. Until then the owner can undo it and download the data with Export. Deleting stops a paid plan from renewing, and the time left isn’t refunded beyond the refund rule above.
  • Anyone can delete their own account in Settings › Your account; an owner first hands the workspace over, or deletes it and can delete the account once the workspace is deleted for good, 30 days later. The work they did stays with each workspace, as the privacy page says.
  • We may suspend or close a workspace that breaks these terms, after telling its owner.

No promises beyond these terms

Tengu is provided as is and as available. To the extent the law allows, we make no promises beyond these terms, express or implied, including that Tengu is fit for a particular purpose or merchantable, is free of errors, or is never interrupted.

Liability

To the extent the law allows, Prizmstack LLC is not liable for indirect or consequential losses, and our total liability is limited to what your workspace paid us in the 12 months before the claim.

If someone makes a claim

If someone makes a claim against Prizmstack LLC because of your content, your use of Tengu against these terms, or a call you had Tengu Bot record without the consent the law asks for, you cover our reasonable costs of it, legal fees included.

Changes to these terms

We may update these terms. For a change that matters, we email workspace owners at least 30 days before it takes effect; if the owner doesn’t agree, they can cancel in Billing before then. The date at the top shows the version in force.
